Abstract

In this article the author examines issues that arise when courts encounter conflicts problems relating to foreign corporations. Through an analysis of several cases, the author examines numerous issues such as whether or not the particular foreign court had jurisdiction over the issues, to what system of law the forum should apply to the particular problem, and whether or not a forum considers unacceptable by reason of public policy a solution that would otherwise follow from its applicable law. The author then offers suggestions for simplifying the law surrounding foreign corporations, and concludes with an additional critical look at the cases.
