THE CIVIL LIABILITY OF DIRECTORS OF A CORPORATION

Abstract

This article concerns only directors of companies incorporated under a joint stock companies act. It canvasses the historical development of laws applicable to directors, summarising the positions under agency and trust law. The author lists the five headings under which the position of directors has been classified, and creates ten points to clarify what a director may or may not do, when he/she will or will not be liable and the scope of these duties and liabilities.
